Terms

Listenbox is for creators, teams, and organizations that have the rights needed to host, edit, publish, migrate, and distribute their podcast content.

Agreement

These terms apply when you access or use Listenbox websites, accounts, podcast workspaces, hosting, publishing tools, migration workflows, support, and related services. Listenbox is operated by Pneuma LLC, a New Mexico limited liability company. If you use Listenbox for an organization, you represent that you are authorized to accept these terms for that organization. By accessing or using Listenbox, you agree to these terms. If you do not agree, do not use Listenbox.

Accounts

You are responsible for your account, workspace activity, user permissions, credentials, and any content submitted through your account. Keep login credentials secure and tell Listenbox promptly if you believe your account has been compromised.

Rights to imported content

You must have the rights, permissions, licenses, and consents needed to upload, import, host, edit, copy, transcode, generate assets from, publish, and distribute the YouTube channel, videos, audio, metadata, images, names, likenesses, music, ads, sponsor reads, and related content you use with Listenbox.

Imported podcast content remains your content, not Google-owned content and not Listenbox-owned content. You grant Listenbox the limited rights needed to operate the service for you, including storing, copying, transcoding, processing, displaying, publishing, distributing, backing up, and transmitting your content as you request or configure.

YouTube migration

Listenbox imports creator-owned YouTube content only through Google Takeout files that you create, download, and provide to Listenbox. Google may host or make your content available for export, but the migrated podcast media remains your content. Listenbox does not promise scraping, downloader access, account circumvention, or access to arbitrary YouTube videos.

YouTube API Services

Listenbox uses YouTube API Services for managed YouTube publishing. By connecting YouTube or using Listenbox's YouTube API features, you agree to be bound by the YouTube Terms of Service. Google's Privacy Policy explains how Google handles information. Listenbox's handling of Google user data and YouTube API Data is described in the Privacy policy.

When you connect a YouTube account, you authorize Listenbox to act only on the channel, playlist, content, and publishing settings that you select or approve. For a managed upload, this may include uploading your video, setting its title, description, and public, private, or unlisted status, and adding the new video to your selected playlist. You remain responsible for checking the destination channel, video details, audience designation, privacy setting, scheduled time, and other publishing choices before enabling or initiating the YouTube action.

You can disconnect YouTube through Listenbox or revoke access through your Google Account. Disconnecting does not automatically remove videos already published to YouTube; you can manage or delete those videos in YouTube.

Prohibited use

You may not use Listenbox to infringe intellectual property, violate privacy or publicity rights, upload unlawful content, distribute malware, attack or disrupt systems, scrape or download content without authorization, misrepresent ownership, bypass platform rules, spam listeners or platforms, or use Listenbox in a way that could harm Listenbox, other users, third-party services, or distribution destinations.

Migration limits

YouTube migration is a beta workflow. Large migrations may require review, support, storage limits, queueing, eligibility checks, technical limits, or separate fees. Import time and output quality depend on the data and media available in the Google Takeout files you provide.

Publishing and distribution

You are responsible for reviewing imported episodes, generated assets, titles, descriptions, links, artwork, transcripts, chapters, feeds, show pages, and release settings before publishing. Distribution to third-party platforms depends on their rules, account status, review decisions, technical requirements, APIs, availability, and changes outside Listenbox control.

YouTube publishing actions must be clearly selected or configured by you. Listenbox may stop or delay an upload when authorization expires, Google or YouTube rejects or limits the request, the selected channel is unavailable, or the upload would violate applicable platform requirements.

AI-assisted features

If you request transcript, copy, chapter, notes, or other AI-assisted features, you are responsible for reviewing the output before use. AI-assisted output can be incomplete, inaccurate, or unsuitable for your audience, sponsors, legal requirements, platform rules, or editorial standards.

Payments and plans

Some features may require paid plans, usage fees, migration fees, storage fees, overage fees, or third-party charges. Fees, billing cycles, taxes, renewal terms, cancellation steps, and refund terms will be shown at purchase or in a written order, invoice, or plan description. You authorize Listenbox and its payment providers to process charges for the services you select.

Service changes

Listenbox may add, change, limit, suspend, or discontinue features, beta workflows, integrations, destinations, limits, or support paths. Listenbox may take action to protect the service, comply with law, respond to third-party platform changes, prevent abuse, or address security and operational risks.

Suspension and termination

Listenbox may suspend or terminate access if you violate these terms, create legal or security risk, fail to pay required fees, misuse third-party services, or use Listenbox in a way that could harm Listenbox, users, platforms, or the public. You may stop using Listenbox or request account deletion by contacting hello@listenbox.app.

Privacy and security

Listenbox handles personal information as described in the Privacy policy. You are responsible for configuring access, distribution destinations, connected accounts, and published content in a way that matches your privacy, security, and legal obligations.

No quality guarantee beyond the export

Listenbox does not guarantee better quality than the authorized export contains. Missing source media, incomplete metadata, unavailable thumbnails, or export limitations may affect the final Listenbox workspace.

Disclaimers

Listenbox provides the service as available. To the fullest extent permitted by law, Listenbox disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Listenbox does not guarantee uninterrupted service, error-free operation, specific audience results, platform acceptance, revenue, search ranking, or distribution availability.

Limitation of liability

To the fullest extent permitted by law, Listenbox will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, content, audience, or business interruption. Listenbox's aggregate liability for claims relating to the service will not exceed the amounts you paid to Listenbox for the service giving rise to the claim during the 12 months before the event giving rise to liability, or 100 USD if you did not pay Listenbox.

Indemnity

You will defend and indemnify Listenbox from claims, damages, liabilities, costs, and expenses arising from your content, your instructions, your use of Listenbox, your connected accounts, your violation of these terms, your violation of law, or your infringement or misuse of third-party rights.

Updates

Listenbox may update these terms as the service, law, or operational practices change. Material updates will be posted on this page or provided through another reasonable notice. Continued use of Listenbox after an update means you accept the updated terms.

Governing law

These terms are governed by the laws of New Mexico, United States, without regard to conflict-of-law rules. The courts located in Bernalillo County, New Mexico, will have exclusive jurisdiction for disputes that are not subject to another written agreement between you and Pneuma LLC.
